1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the website at zeodyn.com and any related services (collectively, the “Service”) provided by Virtual Factory Solutions Ltd., a company registered in England and Wales (trading as “VFS” and operating the “Zeodyn” brand) (“we”, “us”, or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.
2. Description of Service
Zeodyn™ provides a scanner (the “Zeodyn Scanner™”) that analyses publicly accessible websites to assess their readiness for AI agent discovery and interaction. The scanner examines six dimensions — Discovery & Access, Structured Data, Commerce Data, Protocol Support, Security & Trust, and Technical Performance — defined by the Agent Commerce Stack™ framework.
The Service generates a Zeodyn Score™ and recommendations based on publicly available information at the time of scanning. Results are a technical diagnostic and should not be treated as professional, legal, or business advice.
3. Zeodyn Scanner™
The Zeodyn Scanner™ examines only publicly observable signals — the same information available to any browser, crawler, or AI agent visiting a website. This includes HTTP headers, HTML content, schema markup, robots.txt, well-known endpoints, SSL certificates, and page performance characteristics.
The scanner does not access login-protected content, circumvent access controls, scrape personal data, store copyrighted content, or ignore robots.txt directives. The scanner identifies itself with a clear User-Agent string and respects rate limits.
Scanning of publicly accessible websites is conducted under the legal basis established by relevant case law regarding access to publicly available data. Website owners who wish to opt out of scanning may contact Contact us to request exclusion. 4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorised access to any part of the Service, other accounts, or computer systems.
- Use automated tools (bots, scrapers, or similar) to access the Service in a manner that exceeds reasonable use or bypasses rate limits.
- Interfere with or disrupt the integrity or performance of the Service.
- Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
- Use the Service to scan websites without appropriate authorisation where required.
- Resell, sublicence, or redistribute scan results or Zeodyn Score™ data for commercial purposes without our written consent.
- Misrepresent or fabricate Zeodyn Score™ results.
API and integration usage
Access to the Zeodyn agent scan API is subject to per-platform rate limits and requires a valid API key. Automated access that exceeds documented rate limits, circumvents authentication, or uses the API for purposes other than assessing agent commerce readiness may result in key revocation.
5. Intellectual property
The Service, including its design, code, content, logos, trademarks, methodology, scoring algorithms, and all associated intellectual property, is owned by Virtual Factory Solutions Ltd. and is protected by international copyright, trade secret, trademark, and intellectual property laws and treaties.
Zeodyn™, Zeodyn Score™, and Agent Commerce Stack™ are trademarks of Virtual Factory Solutions Ltd. Use of our trademarks is governed by our Trademark Usage Guidelines.
The Agent Commerce Stack™ methodology is published at zeodyn.com/methodology as a commitment to transparency. Proprietary elements — including exact dimension weights, sub-check weights, scoring curve parameters, and scanner implementation details — remain confidential commercial intellectual property and trade secrets. These may not be reproduced, reverse-engineered, or derived without written consent.
Nothing in these Terms grants you any right, title, or interest in the Service or our intellectual property, except the limited right to use the Service in accordance with these Terms.
Benchmark scores and published assessments
Zeodyn may publish benchmark scores, analyses, and assessments of publicly accessible websites based on publicly observable signals. Published benchmarks represent Zeodyn's independent assessment at the stated date and do not imply any relationship with, endorsement by, or affiliation with the assessed party. Benchmark scores are provided for informational purposes and may change as assessed websites update their infrastructure.
6. Scan results and data
Scan results are generated automatically based on publicly available information. We do not guarantee the accuracy, completeness, or reliability of any scan results. Results may vary over time as websites change and as the scoring methodology is updated.
The Zeodyn Score™ is a technical diagnostic based on objectively verifiable signals. It does not constitute an endorsement, recommendation, quality assessment, or professional opinion regarding any website or business.
Shareable report links are accessible to anyone with the link. Do not share report links if you consider the scan results confidential.
Scan results generated through AI platform integrations are subject to the same data practices as results generated on zeodyn.com. The requesting user can access their results via the provided report link. The URL scanned and the resulting assessment data may also be used for aggregate market intelligence as described in Section 8.
7. Publication of assessments
We proactively assess publicly accessible websites to evaluate their readiness for AI agent discovery and interaction. We may publish assessment results, including Zeodyn Score™ values, dimension scores, benchmark comparisons, and analytical commentary, on our website, in reports, and through third-party publications.
Published assessments are independent editorial assessments based solely on publicly observable technical signals measured at the stated date. They do not imply any relationship with, endorsement by, or affiliation with the assessed party. Scores may change as websites update their infrastructure, and we may update or republish assessments accordingly.
Exclusion from assessment
Website owners who do not wish to be included in proactive assessments or published benchmarks may request exclusion by:
- Blocking our scanner via
robots.txt(User-Agent: ZeodynScanner). - Contacting Contact us to request permanent exclusion.
We honour exclusion requests within 5 business days. Existing published scores may remain available for historical reference but will be clearly marked as excluded from future assessment.
8. Agent-initiated scans and AI platform integrations
We operate scanner integrations on third-party AI platforms, including OpenAI ChatGPT, Anthropic Claude, Microsoft Copilot, and Google Gemini. When a user on these platforms requests a scan of a website URL through a Zeodyn integration, the scan is processed identically to a free scan on zeodyn.com — the same homepage-only assessment using publicly observable signals.
Background data collection
When a scan is initiated through an AI platform integration, we may conduct a subsequent multi-page scan of the same URL to collect data for our market intelligence corpus. This background scan:
- Assesses up to 5 pages (homepage plus automatically discovered product pages).
- Collects the same categories of publicly observable data as described in Section 3.
- Is conducted from the same UK-based infrastructure.
- Does not access any information beyond what is publicly available.
- Is not visible to or returned to the requesting user.
Corpus usage
Data collected through agent-initiated background scans is used for:
- Aggregate market intelligence and industry analysis.
- Benchmark publications and research reports.
- Methodology validation and scoring calibration.
- Commercial data products (aggregated, never individual site data in isolation).
Individual site scan results are never sold or shared on a per-site basis. Published analysis uses aggregated statistics, band distributions, and anonymised trends.
Opt out
Website owners may opt out of background data collection by blocking the ZeodynScanner user agent via robots.txt, or by requesting exclusion via our contact page. Opt-out requests are honoured within 5 business days. Opting out prevents future background scans but does not prevent the initial homepage assessment requested by the AI platform user.
User scans excluded from corpus
Scans initiated directly by users on zeodyn.com (whether free, Pro, or Growth tier) are not used for market intelligence corpus data. Only scans initiated through AI platform integrations and our own market research campaigns contribute to the corpus.

9. MCP Tool acceptable use
Rate limits apply to scans initiated via MCP (Model Context Protocol) tool integrations:
- Unauthenticated users: 200 unique domain scans per day.
- Subscribers: Per-tier limits as specified in the applicable subscription plan.
MCP tools are intended for evaluating websites for AI agent commerce readiness. They are not intended for data scraping or competitive intelligence gathering at scale. Automated bulk scanning beyond tier limits is prohibited and may result in rate limiting, suspension, or revocation of access.
10. Cached results
Scan results may be cached for up to 24 hours. Cached results are informational and are not guaranteed to reflect the current state of a website. If you require a fresh assessment, you may request a new scan after the cache period has elapsed.
11. MCP service availability
MCP endpoints may be modified, rate-limited, or discontinued with reasonable notice. Zeodyn is not responsible for the availability, performance, or operation of third-party AI platforms (including but not limited to ChatGPT, Claude, Microsoft Copilot, and Google Gemini) through which our tools may be accessed.
12. AI agent liability
Zeodyn is not responsible for actions that AI agents or their operators take based on scan results. Scan results are informational assessments of publicly observable website signals. They do not constitute warranties, guarantees, certifications, or professional advice of any kind. Decisions made by AI agents, automated systems, or human users in reliance on scan results are made at their own risk.
13. Dispute and correction
If you are a website owner and believe your Zeodyn Score™ does not accurately reflect your site’s capabilities, you may:
- Re-scan your site at any time to capture recent changes.
- Submit a formal dispute by contacting Contact us with specific details of the signals you believe have been incorrectly assessed.
Dispute process
When we receive a formal dispute, we will:
- Acknowledge receipt within 5 business days.
- Investigate the specific signals identified in your dispute.
- Provide a written response within 15 business days, which may include a re-scan, score correction, or a detailed explanation of our findings.
If we confirm a methodology error or technical fault, we will correct the score and update any published materials that reference the affected assessment. We reserve the right to determine the final outcome of any dispute at our sole discretion.
14. Service availability
We strive to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice.
15. Methodology changes
The scoring methodology may be updated from time to time. Material methodology changes are subject to a 30-day public consultation period as described in our methodology documentation. When methodology changes affect scoring, we will update the methodology version number.
Changes to the methodology may cause scores to increase or decrease. This is expected behaviour as the framework evolves to reflect the changing agent commerce landscape.
16. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be error-free, secure, or that any defects will be corrected. Scan results and the Zeodyn Score™ do not constitute professional, legal, or technical advice.
Zeodyn Score™ values and dimension scores are provided for informational purposes only. No warranty is given as to the accuracy, completeness, or suitability of any score for any particular purpose. Scores should not be relied upon as the sole basis for any business, investment, or contractual decision. Scores may vary based on the time, geographic location, and network conditions under which the assessment is performed.
17. Limitation of liability
To the maximum extent permitted by applicable law, Virtual Factory Solutions Ltd. and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service, any scan results, or any Zeodyn Score™ assigned to any website.
Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you have paid us in the twelve (12) months preceding the claim, or (b) one hundred pounds sterling (£100).
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
18. Indemnification
You agree to indemnify and hold harmless Virtual Factory Solutions Ltd. and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service or your violation of these Terms.
19. Changes to these Terms
We reserve the right to update or modify these Terms at any time. When we make changes, we will update the “Effective” date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
20. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
